Terms of sale

1. Scope

These general terms apply to every offer, order and service of 55·13 Studio, the business name of Jeason Pourcelet, a sole trader based in Tournai, Belgium (company number 1039.893.844), hereafter "the Studio". They prevail over the client's own terms unless agreed otherwise in writing. Placing an order implies their unreserved acceptance.

2. Offers and orders

Offers are valid for 30 days unless stated otherwise. An order is firm once the client accepts the quote in writing (signature, confirmation email or payment of the deposit). Any work not covered by the quote is subject to an amendment.

3. Prices and VAT

Prices are in euros. As the Studio's VAT registration is in progress, the applicable VAT is stated on the quote and invoice. Third-party costs (licenses, hosting, fonts, licensed images, external services) are re-invoiced to or borne by the client, as set out in the quote.

4. Payment

Unless agreed otherwise, a 30% deposit may be requested on order, with the balance invoiced on delivery. Invoices are payable within 30 days of the invoice date, by bank transfer.

If payment is not made by the due date, the amounts owed automatically bear late-payment interest at the legal rate for commercial transactions (Belgian Act of 2 August 2002), plus a fixed indemnity of 10% of the unpaid amount with a minimum of €40, without prejudice to recovery costs. The Studio may suspend its services in the event of late payment.

5. Timelines

Announced timelines are indicative. A reasonable delay gives no right to cancellation or compensation. Timelines are paused while the client has not provided the required materials (content, access, approvals).

6. Client obligations

The client provides the required information, content, access and approvals in good time, and warrants holding the rights to the materials it supplies. The Studio is not liable for delays or defects resulting from materials provided by the client.

7. Intellectual property

Exploitation rights to the final deliverables transfer to the client upon full payment. The Studio's working files, intermediate source code, tools and methods remain its property unless agreed in writing. The Studio keeps the right to mention the work and feature it in its portfolio, unless the client requests otherwise.

8. Liability

The Studio is bound by an obligation of means. Its liability is limited to direct damage and capped at the amount of the relevant service. It is not liable for indirect damage (loss of data, revenue or business). The client is responsible for backups and for operating the deliverables after delivery.

9. Termination

If the client cancels an ongoing order, work already performed is due, together with any costs incurred. Either party may end the collaboration in the event of a serious breach not remedied within 15 days of a formal notice.

10. Force majeure

The Studio is not liable for a failure caused by force majeure (major outage, unavailability of a third-party service, illness, etc.). Obligations are suspended for its duration.

11. Personal data

Data processing is described in the privacy policy. Where the Studio processes data on the client's behalf, a GDPR-compliant data-processing agreement may be concluded.

12. Governing law and jurisdiction

These terms are governed by Belgian law. Any dispute falls under the exclusive jurisdiction of the courts of the Hainaut district, Tournai division, without prejudice to consumer rights.

13. Consumers

A consumer client has a 14-day right of withdrawal for distance contracts. This right does not apply to fully performed services, nor to custom-made goods or digital content whose performance has begun with the consumer's express consent.
